Colorado passed a new legislation: HB 1250 took effect August 9, 2022 amending business entity statutes to repeal a provision exempting certain domestic entities from reinstatement of an entity after an administrative dissolution and to clarify notice requirements under ratification of defective corporate actions. Emergency Regulation 22-E-14 took effect August 9, 2022 concerning appointment by insurance companies of a registered agent to receive service of process and service of auto liability disclosure requests. Bulletin B-1.37 took effect August 9, 2022 concerning the requirement for insurers to designated registered agent services in Colorado.
Delaware passed 5 new legislations: SB 273 took effect August 1, 2022 to amend the Delaware business entity statutes and maintain their national preeminence. SB 274 took effect August 1, 2022 to amend the Revised Uniform Limited Partnership Act. SB 275 took effect August 1, 2022 to amend the Limited Liability Company Act. SB 276 took effect August 1, 2022 amending the Revised Uniform Partnership Act. SB 284 took effect August 1, 2022 amending the Statutory Trust Act to among other things add business development companies to a number of provisions that previously applied only to registered investment companies.
Michigan passed a new legislation: SB 926 took effect July 11 2022 to amend the LLC Act to add nonprofit corporations to the definition of “person” which already includes individual, partnership, LLC, trust, custodian, estate, association, corporation, governmental entity or any other legal entity.
North Carolina passed 2 new legislations: HB 776 takes effect July 1, 2023 where the Remote Online Notarization Act provides for the qualifications, procedures and other requirements for remote online notarization. HB 1018 took effect July 8, 2022 making subsequent changes to the state’s real estate law.
Rhode Island passed 2 new legislations: HB 7363 took effect June 30, 2022 to permit remote notarization and recognize notarial acts performed under the law of a federally-recognized Indian tribe. SB 2705 took effect June 30, 2022 to permit remote notarization and recognize notarial acts performed under the law of a federally-recognized Indian tribe.
