Q1 Jurisdictional Update

Below are the recent Jurisdictional Updates as of March 4, 2022.

Delaware passed 2 new legislations SB 203 which took effect February 7,2022 amended the General Corporation Law to authorize Delaware corporations to purchase and maintain directors and officers liability insurance by or through captive insurance companies.  HB 272 took effect February 7, 2022 amended the Insurance Holding Company System Registration Act to include changes adopted by the National Association of Insurance Commissioners.

Capitol Building

Maryland  Annual Report & Personal Property Return Extension Deadline is April 15 to maintain good standing status. A two month extension to June 15 is available through online extension requests through SDAT via Extension Request Application Forms.

Massachusetts passed HB 4345 which took effect February 12, 2022 to temporarily provide for remote notarization of physical documents. The bill has retroactive effect to December, 15 2021 and permits remote notarization until July 15, 2022.

New Mexico passed HB 180 which took effect March 1, 2022 Revised Uniform Law on Notarial Acts. The new repealed a provision that permitted the public to inspect a notary journal or audiovisual recording.

New York passed SB 7780 which portions of new law took effect February 24, 2022 to allow both remote ink notarization and electronic notarization. Other sections take effect January 31, 2023.

North Carolina Assumed Business Names filed prior to December 1, 2017 expire December 1, 2022. They must be renewed to stay active and displayed in the assumed names database.

Legal Statue

Rhode Island passed HB 5984A or SB 789A changes the due dates of annual reports to February 1 and May 1 of every year. This affects domestic, foreign, nonprofit and limited liability.
